Employee Non-Disclosure Agreement Sample
Parties Involved:

Purpose:
This agreement is intended to protect confidential information disclosed by the Employer to the Employee during the course of employment.
Definition of Confidential Information:
Confidential Information includes, but is not limited to, proprietary data, business strategies, client information, trade secrets, and any other sensitive information designated as confidential by the Employer.
Obligations of the Employee:
The Employee agrees to maintain the confidentiality of the Confidential Information, not disclose it to third parties, and use it solely for the purpose of fulfilling employment duties. The Employee shall take all reasonable precautions to protect such information.
Term:
This agreement shall commence on the effective date below and continue for the duration of employment and for a period of two (2) years thereafter, unless earlier terminated in writing by either party.
Return of Materials:
Upon termination of employment or upon request, the Employee shall return all materials containing Confidential Information and shall not retain any copies thereof.
General Provisions:
- The Employee acknowledges that any breach of this agreement may cause irreparable harm to the Employer and that monetary damages may be insufficient. The Employer shall be entitled to seek injunctive relief in case of such breach.
- This agreement represents the entire understanding between the parties concerning confidentiality and supersedes any prior agreements.
- Amendments to this agreement must be made in writing and signed by both parties.
